General Terms and Conditions
1. General provisions
1.1 These general terms and conditions (the “terms”) govern the sale of goods by MMLES, s.r.o., registered office Krásna Ves 82, 956 53 Krásna Ves, Slovakia, company ID (IČO): 47436255, tax ID (DIČ): 2023895797, VAT ID: SK2023895797, registered in the Commercial Register of the District Court of Trenčín, section Sro, file No. 28918/R (the “seller”).
1.2 Seller contact details: email info@mmles.com, telephone +421 911 158 439, registered office Krásna Ves 82, 956 53 Krásna Ves, Slovakia. Shop: Trenčianska cesta 1265/15, 957 01 Bánovce nad Bebravou, Slovakia.
1.3 The buyer is either a consumer or a business. A consumer is a natural person who, when concluding and performing the contract, is not acting for purposes of their trade, business, craft or profession. A business is a buyer purchasing goods in connection with its business activity; a buyer who states a company ID in the enquiry or when accepting a quote is also treated as a business.
1.4 Contracts with consumers are governed in particular by the Slovak Civil Code (Act No. 40/1964 Coll.) and the Slovak Consumer Protection Act (Act No. 108/2024 Coll.); contracts with businesses by the Slovak Commercial Code (Act No. 513/1991 Coll.). Any provision of these terms that would depart from the law to the detriment of a consumer does not apply to consumers.
1.5 Different terms agreed in a quote accepted by the buyer or in a written contract take precedence over these terms.
2. Enquiry, quote and conclusion of the contract
2.1 The seller’s website is not an online shop. Product descriptions and prices on the website are for information only and do not constitute an offer to conclude a contract.
2.2 The buyer may send a non-binding enquiry using the form on the website, by email, by telephone or in person. An enquiry creates no obligation to buy or sell.
2.3 Based on the enquiry, the seller sends the buyer a quote by email or on another durable medium. The quote states in particular the description and quantity of the goods, the total price including VAT, delivery costs and any other charges, the delivery and payment method, the expected delivery date and how long the quote is valid. Together with the quote, the seller provides these terms and the complaints procedure and, to consumers, information on the right of withdrawal.
2.4 The quote is an offer to conclude a purchase contract. The contract is concluded when the seller receives the buyer’s unconditional acceptance of the quote within its validity period. The buyer accepts the quote by email or in writing. An acceptance with reservations or changes is treated as a new enquiry.
2.5 The seller confirms the conclusion of the contract to the buyer by email without delay. The contract, including the quote and these terms, is recorded in the parties’ email correspondence; the seller archives it for the purpose of performing the contract and as required by law, and does not make it available to third parties.
2.6 The buyer may also conclude a contract in person at the seller’s shop.
2.7 The contract may be concluded in Slovak, with buyers from the Czech Republic also in Czech, and with other foreign buyers also in English.
2.8 The cost of means of distance communication (telephone, internet) is borne by the buyer according to their own tariff; the seller charges nothing for their use.
3. Price
3.1 Prices on the website are stated in euros including VAT and excluding delivery costs. For goods priced on request, the price depends on the quantity, the type of goods and the place of delivery.
3.2 The binding price is the price stated in the quote accepted by the buyer. The seller states delivery costs and any other charges (for example a cash on delivery fee) in the quote before the contract is concluded; the buyer pays no other costs.
3.3 For business buyers the seller may also state the price excluding VAT in the quote; VAT is added in accordance with applicable law.
4. Delivery
4.1 The seller delivers goods in one of the following ways:
- personal collection at the shop in Bánovce nad Bebravou;
- small parcels by GLS courier;
- large and palletised consignments by GLS pallet freight.
4.2 Details are on the Delivery options page. The delivery method and its price are agreed in the quote.
4.3 The seller delivers the goods by the date stated in the contract confirmation. If no date is agreed, the seller delivers the goods to a consumer without undue delay and no later than 30 days after the contract is concluded.
4.4 The buyer must take delivery of the goods. Where goods are shipped, we recommend checking the consignment on receipt; what to do if it is damaged is described on the Damage in transit page.
4.5 Ownership of the goods and the risk of accidental destruction, deterioration and loss pass to a consumer upon delivery, i.e. when the consumer or a person designated by them takes possession of the goods.
4.6 For business buyers, the risk of damage to the goods passes on taking delivery or, where the goods are carried, when they are handed over to the first carrier for carriage to the buyer. A business buyer acquires ownership of the goods only upon full payment of the purchase price.
5. Payment terms
5.1 The purchase price can be paid:
- in cash or by payment card on personal collection at the shop;
- cash on delivery when a small parcel is delivered by courier;
- in advance against an invoice for palletised consignments; the seller dispatches the goods once the payment has been credited to its account;
- against an invoice with a payment term, for verified business customers.
5.2 A verified business customer is a business buyer with whom the seller has expressly agreed on payment against an invoice with a payment term. The payment term is stated on the invoice.
5.3 The purchase price is paid on the day it is credited to the seller’s account, when cash or card payment is received, or, for cash on delivery, when it is paid to the carrier.
5.4 If the buyer is late with payment, the seller is entitled to default interest under the Civil Code or, for business buyers, under the Commercial Code, and may suspend further deliveries until payment is made.
5.5 The seller issues the invoice in accordance with the Slovak VAT Act and sends it to the buyer by email or hands it over with the goods.
6. Withdrawal from the contract
6.1 A consumer has the right to withdraw from a distance contract without giving any reason within 14 days of the day on which they, or a third party other than the carrier indicated by them, take possession of the goods. Information on this right, the procedure and a model withdrawal form are on the Returns page, which forms part of these terms.
6.2 A contract concluded by accepting a quote by email is also a distance contract. The right to withdraw without giving a reason does not apply to a contract the consumer concludes in person at the shop.
6.3 A consumer cannot withdraw from a contract for goods made to their specifications or custom-made, in particular pallets and pallet collars with dimensions to their requirements.
6.4 Business buyers have no right to withdraw without giving a reason; they may withdraw only on the grounds provided by the Commercial Code or the contract.
7. Liability for defects
7.1 The seller is liable for defects in the goods under the Civil Code or, towards business buyers, under the Commercial Code. The procedure for notifying a defect (making a complaint) is set out in the Complaints procedure, which forms part of these terms.
7.2 The seller supplies used pallets sorted, fully functional and free of damage that would limit their use (100% functionality). Ordinary signs of previous use, such as colour differences or stains on the wood, are not defects.
8. Personal data
8.1 How the buyer’s personal data is processed is described on the Privacy policy page.
9. Dispute resolution and supervision
9.1 If a consumer is not satisfied with how the seller handled their complaint, or believes that the seller has infringed their rights, they may ask the seller for redress, in particular by email to info@mmles.com.
9.2 If the seller rejects the request for redress or does not reply within 30 days of it being sent, the consumer may file a request for alternative dispute resolution under Slovak Act No. 391/2015 Coll. on Alternative Consumer Dispute Resolution. The alternative dispute resolution body is the Slovak Trade Inspection (Slovenská obchodná inšpekcia), Bajkalská 21/A, P. O. BOX 29, 827 99 Bratislava, Slovakia, ars@soi.sk, or another authorised body on the list kept by the Ministry of Economy of the Slovak Republic (www.economy.gov.sk). The consumer may choose which of these bodies to contact.
9.3 A consumer resident in another member state of the European Union may, in a cross-border dispute, also contact the European Consumer Centre in their own country.
9.4 Compliance with the seller’s obligations towards consumers is supervised by the Slovak Trade Inspection, Inspectorate for the Trenčín Region (www.soi.sk).
10. Final provisions
10.1 Contracts are governed by the law of the Slovak Republic. Where the buyer is a consumer habitually resident in another country, this choice of law does not deprive them of the protection afforded by provisions of the law of that country that cannot be derogated from by agreement.
10.2 The UN Convention on Contracts for the International Sale of Goods does not apply to contracts with business buyers.
10.3 These terms are also published in Slovak and Czech. Where the buyer is a business, the Slovak version prevails in the event of any discrepancy between language versions.
10.4 The seller may amend these terms. A contract is governed by the version in force when it was concluded.
10.5 These terms are effective from 21 October 2026.
